Terms of Service

1. Grant of License and Account Access
In consideration for the monthly or annual subscription fees paid by you during the term of your subscription, Solstice grants you a personal, limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Solstice subscription service solely for your personal, non-commercial purposes and in accordance with these Terms.
The subscription service may include access to the Solstice Discord server, text and voice channels, trading announcements, market commentary, newsletters, educational materials, portfolio review sessions, software features, data, analysis, and other content or services made available by Solstice from time to time, collectively referred to as the “Service.”
Your subscription and access rights are issued to you individually. You may access the Service only through your own account, username, password, Discord account, email address, or other authorized access credentials.
You may not share, transfer, sell, lend, or otherwise permit another person to use your account or subscription. You are solely responsible for:
- Maintaining the confidentiality and security of your account credentials;
- Restricting unauthorized access to your account;
- Ensuring that all information associated with your account is accurate and current; and
- All activities conducted through your account, whether or not such activities were authorized by you.
You must notify Solstice promptly if you know or reasonably suspect that your account or access credentials have been lost, stolen, shared, compromised, or used without authorization.
Solstice may suspend, restrict, or terminate your access to the Service if Solstice reasonably believes that your account has been shared, compromised, used fraudulently, or used in violation of these Terms.
No ownership rights are transferred to you under these Terms. Solstice and its licensors retain all rights, title, and interest in and to the Service, including all related content, data, branding, software, algorithms, methodologies, designs, intellectual property, and proprietary materials.
2. Restrictions on Use
Except with Solstice’s prior written authorization, you may not, directly or indirectly:
- Copy, reproduce, record, screenshot, download, archive, modify, translate, adapt, distribute, transmit, republish, display, perform, or create derivative works from any portion of the Service or its content, except for limited personal notes created solely for your own non-commercial use;
- Share, forward, repost, publish, livestream, rebroadcast, or otherwise disclose any trading signal, trade announcement, market commentary, newsletter, voice discussion, portfolio review, chart, analysis, data, or other Solstice content to any third party;
- Record any voice chat, livestream, meeting, portfolio review, presentation, or other audio or video communication provided through the Service without Solstice’s prior written permission;
- Sell, resell, rent, lease, lend, sublicense, assign, transfer, or commercially exploit your subscription, account, access rights, or any portion of the Service;
- Use the Service or its content to operate, promote, support, or provide any commercial trading, advisory, educational, newsletter, social media, copy-trading, signal-distribution, or investment-related service;
- Use Solstice content to advise, direct, manage, or place trades for another person or entity;
- Scrape, crawl, index, extract, collect, aggregate, or reproduce data or content from the Service through automated means, including bots, scripts, artificial intelligence systems, browser extensions, data-mining tools, or similar technologies;
- Decompile, disassemble, reverse engineer, decode, or attempt to discover the source code, underlying structure, algorithms, models, formulas, methods, or proprietary processes used in connection with the Service;
- Circumvent, disable, interfere with, or attempt to bypass any authentication system, access restriction, security measure, subscription control, Discord permission, or technical limitation associated with the Service;
- Use the Service in violation of any applicable law, regulation, exchange rule, platform policy, third-party right, or contractual obligation;
- Misrepresent your identity, impersonate another person, create accounts for unauthorized users, or provide false or misleading account or payment information; or
- Publicly publish or distribute any purported performance result, benchmark, return, success rate, win rate, testimonial, comparison, or evaluation relating to Solstice or the Service without Solstice’s prior written permission.
Any unauthorized use of the Service may result in the immediate suspension or termination of your subscription without refund and may also subject you to legal action.
3. Informational and Educational Purposes Only
All content provided through the Service, including trading signals, trade announcements, market commentary, newsletters, watchlists, charts, voice discussions, educational materials, algorithmic outputs, and portfolio review sessions, is provided solely for general informational and educational purposes.
Nothing provided by Solstice constitutes or should be interpreted as:
- Personalized investment advice;
- Legal, tax, accounting, or financial-planning advice;
- A recommendation or solicitation to buy, sell, hold, or trade any security, option, futures contract, commodity, cryptocurrency, or other financial instrument;
- An offer to enter into any transaction;
- A representation that any investment or trading strategy is suitable for you;
- A guarantee of any particular trading or investment result; or
- The creation of an investment-adviser, broker-customer, fiduciary, agency, attorney-client, or other professional relationship.
Solstice does not execute trades for you, exercise discretion over your account, manage your assets, hold or take custody of your funds or securities, or continuously monitor your financial condition, portfolio, positions, or trading activity.
Any portfolio review or similar discussion is limited to general educational commentary based on the information you voluntarily provide. It is not a comprehensive evaluation of your finances, investment objectives, tax circumstances, risk tolerance, liquidity needs, legal obligations, or personal circumstances.
Solstice does not independently verify the completeness or accuracy of information you provide during a portfolio review. Any omission, error, or change in your circumstances may materially affect the relevance of the discussion.
You remain solely responsible for:
- Evaluating the merits and risks of every transaction;
- Conducting your own independent research and due diligence;
- Determining whether a transaction is appropriate for your personal circumstances;
- Selecting your broker, platform, account type, order type, position size, and risk controls;
- Monitoring your own positions and accounts; and
- Making all final trading and investment decisions.
Before acting on any information provided through the Service, you should consult appropriately licensed financial, investment, legal, accounting, or tax professionals when necessary.
You acknowledge that information provided through the Service may become outdated quickly because of changing market conditions. Solstice has no obligation to update, withdraw, correct, or provide follow-up commentary regarding any previously issued signal, announcement, opinion, or analysis.
4. Subscriptions, Billing, Automatic Renewal, and Cancellation
Solstice may offer monthly, annual, or other subscription plans. The applicable subscription price, billing frequency, initial subscription term, renewal term, and included benefits will be disclosed to you before you complete your purchase.
By purchasing a subscription, you authorize Solstice and its third-party payment processor, including Stripe, to charge your selected payment method for the applicable subscription fees and any legally required taxes.
Unless otherwise expressly stated at checkout, your subscription will automatically renew at the end of each billing period for an additional period of the same length. Your payment method will be charged automatically at the then-current subscription price unless you cancel before the applicable renewal date.
By completing your purchase, you affirmatively consent to the recurring subscription charges disclosed to you during checkout.
Solstice will provide a confirmation or acknowledgment containing the applicable subscription terms, cancellation policy, and instructions for managing or canceling your subscription in a form that you can retain.
You may cancel your subscription at any time through an available account-management page, Stripe customer portal, online cancellation link, or another cancellation method designated by Solstice.
When a subscription is purchased online, Solstice will provide a method that allows the subscription to be canceled online without requiring you to call, speak with a representative, or complete unnecessary steps that unreasonably obstruct or delay cancellation.
Cancellation stops future automatic renewals and charges. Unless otherwise stated at checkout or required by applicable law, cancellation will take effect at the end of your current paid billing period. You may continue using the Service until the expiration of that billing period.
Except where required by applicable law or expressly stated in a separate written refund policy:
- Subscription fees are non-refundable;
- Solstice does not provide prorated refunds or credits for partially used billing periods;
- Solstice does not issue refunds for unused Discord access, unread newsletters, unattended voice sessions, unused portfolio reviews, or other unused subscription benefits; and
- Failure to access or use the Service does not relieve you of charges incurred before your cancellation became effective.
Solstice may change its subscription prices, billing frequency, included benefits, or renewal terms. When required by applicable law, Solstice will provide advance notice of a material change and explain when the change will take effect and how you may cancel your subscription.
Unless otherwise stated in the notice, a price change will apply beginning with the first renewal period following the effective date of the change. Your continued subscription after the change takes effect constitutes your acceptance of the updated pricing or subscription terms.
If your payment method is declined, expired, invalid, or otherwise cannot be charged, Solstice may attempt to process the payment again and may suspend or restrict your access until the outstanding amount has been paid. You remain responsible for fees properly incurred before cancellation or termination.
Chargebacks. If you initiate a chargeback, payment dispute, or reversal on a charge without first contacting Solstice and allowing a reasonable opportunity to resolve the issue, or if a chargeback is ultimately determined to be invalid, unwarranted, or made in bad faith, you agree to pay Solstice a chargeback fee of one hundred United States dollars (US $100). This fee is in addition to the disputed amount and any fees, penalties, or costs assessed against Solstice by its payment processor or a financial institution in connection with the dispute. Solstice may recover these amounts through any lawful means and may suspend or terminate your access until they are paid in full.
Solstice may immediately suspend or terminate your subscription for account sharing, unauthorized distribution of content, fraudulent activity, payment abuse, harassment, disruption of the Solstice community, or any other material violation of these Terms.
To the maximum extent permitted by applicable law, termination resulting from your violation of these Terms does not entitle you to a refund or credit.
Solstice will provide renewal reminders, cancellation mechanisms, and other subscription notices when and as required by applicable law.
5. Disclaimer of Warranties, Assumption of Risk, and Limitation of Liability
5.1 Service Provided “As Is”
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL CONTENT PROVIDED THROUGH THE SERVICE ARE MADE AVAILABLE ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS.
SOLSTICE DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
Solstice does not represent or warrant that:
- The Service will be uninterrupted, timely, secure, complete, or error-free;
- Any signal, announcement, data point, price, chart, analysis, or commentary will be accurate, complete, current, or suitable for any particular purpose;
- Any error, omission, delay, security issue, or technical problem will be corrected;
- The Service will remain compatible with Discord, Stripe, your broker, your device, or any other third-party platform;
- Any particular trading opportunity will be available when you attempt to act;
- You will be able to enter or exit a position at any particular price;
- You will earn a profit, avoid a loss, or achieve any particular result; or
- Any historical, hypothetical, simulated, backtested, or illustrative result will be replicated in actual trading.
Past performance is not indicative of future results. Hypothetical, simulated, modeled, or backtested performance involves limitations and does not represent actual trading under real market conditions.
Information made available through the Service may be obtained from exchanges, market-data providers, news organizations, government sources, Discord, Stripe, brokers, or other third parties. Solstice does not control these third parties and is not responsible for their accuracy, availability, conduct, policies, security, or performance.
5.2 Trading Risk
Trading and investing involve substantial risk of loss and are not appropriate for every person.
The value of securities, options, futures, commodities, cryptocurrencies, and other financial instruments may fluctuate significantly and may be affected by volatility, liquidity, leverage, market gaps, trading halts, execution delays, technical failures, economic events, regulatory developments, and other circumstances beyond Solstice’s control.
You may lose some or all of the money you invest. Certain leveraged products, margin transactions, options strategies, futures transactions, short sales, and other trading activities may expose you to losses exceeding your initial investment.
You expressly acknowledge and voluntarily assume all risks associated with your access to the Service and with any decision to trade, invest, refrain from trading, or modify an existing position based in whole or in part on information obtained through the Service.
5.3 No Responsibility for Trading Decisions or Execution
Solstice is not responsible for:
- Your trading or investment decisions;
- Your interpretation or application of any information;
- Missed, delayed, incomplete, or incorrect trades;
- Differences between announced and available market prices;
- Slippage, spreads, commissions, fees, margin requirements, taxes, or financing costs;
- Broker, exchange, platform, software, internet, data-feed, Discord, or device failures;
- Trading halts, liquidity limitations, market closures, order rejections, or execution delays;
- Unauthorized access to your brokerage or financial accounts; or
- Losses resulting from your failure to implement appropriate position sizing, diversification, stop-losses, hedging, or other risk controls.
5.4 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLSTICE AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR:
- TRADING OR INVESTMENT LOSSES;
- LOSS OF PROFITS, REVENUE, INCOME, SAVINGS, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED RETURNS;
- LOSS OF DATA, CONTENT, ACCOUNT ACCESS, OR USE OF THE SERVICE;
- COSTS OF SUBSTITUTE SERVICES;
- PERSONAL DECISIONS MADE IN RELIANCE ON THE SERVICE; OR
- ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.
This exclusion applies regardless of whether the alleged liability arises under contract, tort, negligence, strict liability, statute, or any other legal theory, and even if Solstice was advised of or could reasonably have anticipated the possibility of such damages.
5.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SOLSTICE AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE TOTAL SUBSCRIPTION FEES YOU ACTUALLY PAID TO SOLSTICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT THAT GAVE RISE TO THE CLAIM; OR
- ONE HUNDRED UNITED STATES DOLLARS (US $100).
This limitation applies to all claims in the aggregate and not separately to each event, incident, theory of liability, or claim.
5.6 Exceptions Required by Law
Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.
The foregoing disclaimers, exclusions, and limitations will not apply to liability arising from fraud, willful misconduct, gross negligence, intentional injury, or any other liability that applicable law expressly prohibits Solstice from disclaiming or limiting.
Some jurisdictions do not permit the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the disclaimers and limitations in these Terms will apply only to the maximum extent permitted by applicable law.
5.7 Essential Basis of Agreement
You acknowledge that the warranty disclaimers, risk allocations, damage exclusions, and liability limitations contained in these Terms are fundamental elements of the agreement between you and Solstice.
These provisions reflect the allocation of risk between the parties and form an essential basis on which Solstice is able to offer the Service and establish its subscription prices.
To the maximum extent permitted by law, these limitations will apply even if a limited remedy fails of its essential purpose.

When contacting Solstice regarding your subscription, please provide sufficient information to identify your account, but do not send passwords, complete payment-card information, brokerage login credentials, or other sensitive financial information.
